ServiceNow has agreed to acquire Armis for $7.75 billion in cash to strengthen its security offering across the full “cyber-physical” attack surface—traditional IT, operational technology (OT), medical devices, and other connected environments used by enterprises, governments, and critical infrastructure operators. Armis specializes in cyber exposure management, meaning it continuously discovers and classifies assets (including unmanaged or hard-to-see devices) and helps prioritize which exposures matter most. Industrial Cyber says the combined companies aim to deliver a more unified, end-to-end model: Armis’ real-time asset intelligence and risk prioritization would feed into ServiceNow’s workflow engine so the right teams can act quickly—triggering remediation and response through standardized processes rather than juggling disconnected tools. Financially and operationally, ServiceNow expects to fund the transaction with a mix of cash on hand and debt, close it in H2 2026 pending approvals, and bring the Armis team into ServiceNow after closing.
